Terms of Service
Two things live in this document. The first covers anyone using sillion.app — reading it, joining the waitlist, booking a demo. The second is the framework that applies when a school, district, or university deploys Sillion, and it is completed by a signed agreement rather than by this page.
Accepting these terms
These terms are an agreement between you and Sillion, the company operating sillion.app and the Sillion service. Using the website means accepting the parts of this document that apply to the website. Using the service means accepting all of it.
If you do not accept these terms, do not use the site or the service.
Definitions
- Service — the Sillion product, including the tutoring assistant, the teacher-facing insight it produces, and the grading support built on it.
- Site — sillion.app and its public pages, including the waitlist form and the demo booking widget.
- Institution — a school, district, university, or similar body that contracts with Sillion for the Service.
- Authorised User — a person the Institution permits to use the Service, including teachers, administrators, and students.
- Institution Data — data the Institution or its Authorised Users provide to, or generate in, the Service, including course material, student work, and conversation content.
- Output — the text and assessments the Service produces in response to a prompt or a piece of student work.
- Order — an executed order form, master agreement, or equivalent signed document between Sillion and an Institution.
The website and waitlist
The Site is informational. Nothing on it is an offer capable of acceptance, a commitment to deliver a feature, or a guarantee of a date. Sillion is pre-launch, and pages describing what the Service does describe what it is being built to do.
Joining the waitlist means giving us an email address so we can write to you about the product and, when a cycle opens, invite you. You can unsubscribe at any time using the link in any message we send. Do not submit an address that is not yours or that you are not entitled to use.
Booking a demo through the Site schedules a conversation. It creates no obligation on either side beyond turning up, and it does not entitle you to access the Service.
The Privacy Policy explains what the Site collects and why.
Access to the service
Subject to these terms and to the applicable Order, Sillion grants the Institution a non-exclusive, non-transferable right to access and use the Service for its own educational purposes during the term, and to permit its Authorised Users to do so.
The Service is provided as a hosted service. Sillion retains all rights not expressly granted. The Institution may not sublicense, resell, or make the Service available to anyone who is not an Authorised User.
Authorised users and accounts
The Institution decides who its Authorised Users are and is responsible for their use of the Service. Credentials are personal to the user they are issued to and must not be shared. The Institution will tell us promptly if it learns of unauthorised access.
Sillion may act on instructions given through an Institution administrator account, and may rely on the apparent authority of the person using it.
Academic integrity
The Service exists to make learning easier than cheating, and its default behaviour reflects that: it is built to guide a student toward reasoning rather than to hand over finished work.
Academic integrity policy remains the Institution's. Sillion does not set what counts as permitted assistance in a given course, does not adjudicate misconduct, and does not certify that a piece of work is a student's own. Signals the Service surfaces about how a student worked are information for a teacher, not a finding.
Institutions should tell students how the Service may be used in their courses, and teachers should treat the Service as one input to a judgment they make.
Prohibited use
You may not:
- use the Service or the Site in breach of applicable law, or to infringe anyone's rights;
- attempt to gain unauthorised access to the Service, another user's data, or the systems behind either;
- probe, scan, or test the vulnerability of the Service except under a written arrangement with us;
- reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service, except where that restriction is unenforceable by law;
- use the Service to build a competing product, or to benchmark it for publication, without our written consent;
- scrape, crawl, or bulk-extract Output or Service content by automated means;
- interfere with the Service's operation, including by circumventing rate limits or usage controls;
- upload malicious code, or content that is unlawful, harassing, or harmful to a student;
- use the Service to make decisions about a person that produce legal or similarly significant effects without meaningful human review.
Institution responsibilities
The Institution is responsible for:
- having the authority and any legally required permissions to provide Institution Data to Sillion, including student data;
- giving the notices and, where required, obtaining the consents that apply to its use of an educational technology provider;
- the accuracy of roster and course data it supplies or connects;
- configuring the Service, including who sees what, in line with its own policies;
- supervising how the Service is used in its classrooms, and reviewing Output before it is relied on.
Data and privacy
As between the parties, Institution Data belongs to the Institution. Sillion processes it to provide the Service and on the Institution's documented instructions.
Sillion does not sell student personal information, does not use it for targeted advertising, and does not use Institution Data to train general-purpose models without the Institution's written agreement. Data protection terms are set out in the DPA, which applies once incorporated into an Order.
Personal data collected through the Site is covered by the Privacy Policy.
Intellectual property
Sillion owns the Service, the Site, and everything in them other than Institution Data — including the software, the interface, the documentation, and the Sillion name and marks. Nothing here transfers any of that.
As between the parties, Output generated from an Institution's own material and its students' work is treated as Institution Data, and the Institution may use it for its educational purposes. Sillion makes no claim to student work submitted through the Service.
Sillion may use aggregated, de-identified information about how the Service is used — statistics that do not identify an Institution, a teacher, or a student, and from which no one can be re-identified — to operate and improve the Service.
Feedback
If you send us suggestions, we may use them without restriction and without owing you anything. Do not send us anything confidential as feedback. This does not give us any right to Institution Data.
Third-party services
The Service and the Site rely on third-party providers, and can connect to systems the Institution chooses, such as a learning management system. Those services operate under their own terms, and Sillion is not responsible for how they behave or for data an Institution directs us to send them.
The providers that can receive personal data from the Site are listed on the subprocessors page.
AI output and its limits
The Service uses large language models. Output is generated probabilistically. It can be wrong, incomplete, or confidently mistaken, and identical prompts can produce different answers.
Output is not an authoritative statement of fact, and it is not professional advice of any kind. Draft grades and draft feedback are drafts: the Service produces them against a rubric the teacher sets, and a person reviews, adjusts, and approves before anything reaches a student. Nobody should treat a draft as a decision.
Changes to the service
The Service will change. We add, alter, and remove features. Where a change materially reduces the functionality an Institution is paying for during a term, we will give reasonable prior notice, and the Order governs what happens next.
We may change these terms. The current version is always at this address with its date at the top. Where a change materially affects an Institution's rights, we will give notice under the Order rather than relying on the page being updated. Continuing to use the Site or the Service after a change takes effect means accepting the revised terms.
Confidentiality
Each party may receive information the other treats as confidential. The receiving party will use it only to perform under these terms, protect it with at least reasonable care, and disclose it only to people who need it and are bound to keep it confidential.
This does not cover information that is public through no fault of the receiving party, was already known to it without a duty of confidence, or is independently developed. Disclosure required by law is permitted, with notice to the other party where the law allows.
Institution Data is the Institution's confidential information, and is additionally governed by the DPA.
Disclaimers
The Site is provided as it is. Sillion is pre-launch and the Site describes a product under development.
Except as expressly stated in an Order, the Service is provided without warranty of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sillion does not warrant that the Service will be uninterrupted or error-free, or that Output will be accurate.
Some jurisdictions do not allow the exclusion of certain warranties; where that is so, this section applies to the fullest extent permitted.
Limitation of liability
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, however caused.
Neither party excludes liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded by law.
For use of the Site and the waitlist, where no Order is in place, Sillion's aggregate liability is limited to the amount you have paid us, which for the Site is nothing.
Where an Order is in place, that Order sets the liability cap and any exclusions from it. This page does not state a figure, because the figure is negotiated.
Suspension and termination
We may suspend access where use threatens the security, integrity, or availability of the Service, or breaches the prohibited-use section above. Where practical we will give notice first, and we will restore access once the cause is resolved.
Either party may terminate for material breach that is not cured within a reasonable period after written notice. Term and any other termination rights are set out in the Order.
On termination, access ends. Institution Data is returned or deleted on the terms in the Order and the DPA. Provisions that by their nature should survive — intellectual property, confidentiality, disclaimers, liability limits — survive.
Commercial terms
To request a signable copy of the Order documents, or to send redlines, write to hello@sillion.app.
Notices
Notices to Sillion go to hello@sillion.app. Notices to an Institution go to the contact named in its Order, or to the administrator address on its account. A notice is effective when sent, provided it does not bounce.
Assignment
Neither party may assign these terms without the other's written consent, except that either may assign to a successor in a merger, acquisition, or sale of substantially all its assets, on notice. Any other attempted assignment is void.
These terms bind and benefit the parties and their permitted successors. Nothing here creates rights for anyone else.
Order of precedence
Where documents conflict, this is the order:
- the executed Order, including any negotiated amendments;
- the data protection terms incorporated into that Order;
- these Terms of Service;
- any other page on this website.
If a provision of these terms is held unenforceable, the rest stands and that provision is limited to the minimum extent necessary. Failing to enforce a right does not waive it.
